Our client is a prestigious private equity firm based in Guernsey, aiming to attract bright individuals who will thrive in a culture of inclusion and collaboration. An exciting opportunity has arisen for a Company Secretary to manage the statutory and corporate secretarial obligations of Guernsey private equity fund general partners and related entities which are administered in-house. Reporting to: Company Secretarial Manager Hours: Full-time (37.5 hours per week) KEY RESPONSIBILITIES Team Support & Leadership • Deputise for the Company Secretarial Manager in their absence • Attend weekly manager meetings when required and provide updates to the management team • Maintain awareness of team workloads and deadlines • Proactively drive the team forward and support team members • Serve as first point of escalation for more complex queries • Ensure team members feel supported in their roles Corporate Governance • Complete statutory and corporate secretarial reporting and filing requirements • Collaborate in the management of quarterly board meetings including: o Collation of meeting papers o Preparation of board packs o Oversight of meeting timetables o Attendance at meetings and recording of minutes • Prepare and review minutes for board and committee meetings • Assist with recording of investment decision processes • Prepare secretarial reports for quarterly board meetings Administration & Compliance • Liaise with internal and external counterparties • Ensure compliance with relevant processes and procedures • Check and sign off on daily tasks • Act as 'B' signatory for the business • Maintain knowledge of relevant regulations and legislation CANDIDATE REQUIREMENTS Experience & Qualifications • 2-3 years' experience in a company secretarial role at mid-level to assistant manager level • Experience attending board meetings and taking minutes • Relevant company secretarial or administration qualifications • Willingness to undertake further professional study as appropriate Skills & Attributes • Knowledge of Guernsey investment business regulations and legislation • Understanding of statutory requirements and company secretarial filing processes • Expertise in managing and minuting board/committee meetings • • Proficiency in Microsoft Office suite (particularly Outlook, Word, and Excel) TO APPLY
