Compliance, Co-Sec Our client is seeking an enthusiastic and detail-oriented Governance Manager to join their award-winning global team within the high-performing in-house Corporate Governance unit. In this full-time role, you will play a pivotal part in delivering first-class internal corporate governance support across multiple locations, working closely with senior management. Your expertise will help ensure that governance practices are of the highest standard, making a significant impact within the organisation. Job Duties:
Assist with the organisation of board and committee meetings, including the maintenance of the annual meeting schedule. Draft structured and coherent agendas, proactively planning to ensure timely publication of meeting packs and attendance by the right participants. Attend meetings, taking accurate and detailed minutes promptly after each session. Maintain director responsibility lists, authorised signatory lists, constitutional documents, and committee terms of reference. Record and follow up on action points for stakeholders, keeping board and committee action point trackers up to date. Serve as secretary or assistant secretary to boards or committees as required, assisting with the annual board effectiveness review and related outcomes. Prepare and submit annual and event-driven filings with the relevant company registries, regulators, and law societies. Maintain statutory and non-statutory registers, responding to internal CDD requests and upkeeping the global CDD request register. Manage the execution and approval of relevant documents while maintaining the corporate regulatory calendar and governance records. Assist with governance projects, including entity formation and corporate restructures, whilst providing governance support for the annual audit. Train and mentor trainees participating in the rotation programme with the governance team. Develop a suite of global checklists and guidance notes for recurring company secretarial tasks and governance lifecycle events.
Job Requirements:
Proven experience in an in-house governance and/or company secretarial role. Prior experience in a regulated professional services environment is highly advantageous. If applicable, holding or studying towards a Chartered Governance Institute qualification will enhance your application. Familiarity with systems such as Viewpoint, Document Management Systems (Worksite), and Board Intelligence or equivalent platforms is beneficial. Highly organised, proactive, and diligent with the ability to manage a diverse and complex workload in a fast-paced environment. Excellent interpersonal skills with the ability to build strong working relationships across various teams. Strong ability to work independently and take ownership of your workload while demonstrating confidence in seeking clarifications and expanding your knowledge.
