This is a high-profile Group Company Secretary role within a growing, internationally active financial services business. The successful candidate will oversee corporate governance, statutory compliance and Board operations across multiple jurisdictions. Location Guernsey , Channel Islands Duties for this role include, but are not limited to: Advising the Board, Board Committees and senior executives on corporate governance best practice, fiduciary duties and regulatory obligations. Ensuring adherence to relevant financial services regulations and company law across multiple jurisdictions. Monitoring legislative and governance developments and recommending proactive policy updates. Maintaining authorised signatory lists, group structure charts and statutory registers. Overseeing and undertaking statutory filings for Guernsey group companies and providing oversight for other jurisdictions. Managing Board and Committee operations, including corporate calendars, meeting logistics, agenda preparation and minute-taking. Drafting Board reports and tracking action points from meetings to completion. Supporting director appointments, Board composition and succession planning considerations. Managing shareholder communications and coordinating AGMs and EGMs. Supporting corporate transactions such as restructurings, acquisitions and fundraising from a governance perspective. Overseeing regulatory and statutory reporting obligations. Drafting assessments relating to corporate governance code adherence where applicable. Leading and managing the Company Secretarial function to ensure high-quality governance support. Supporting development of Director induction programmes and governance training initiatives. Working collaboratively with Risk and Compliance teams to manage legal and regulatory risk exposure. Skills / Qualifications The ideal candidate will hold a relevant qualification such as ICSA/CGI Chartered Governance Professional (or equivalent) and have a minimum of 7 years' experience within financial services. They will demonstrate strong knowledge of Guernsey Company Law, corporate governance frameworks and statutory compliance requirements, with experience across offshore structures highly desirable. Previous experience supporting Boards and Committees at senior level is essential. The successful candidate will possess strong organisational and communication skills, strategic thinking capability and high professional integrity. They will be resilient, adaptable and confident engaging with directors, senior management and stakeholders across jurisdictions.
