This is an exciting opportunity to join a well-regarded financial services firm, offering specialist support across fund, corporate, and fiduciary services. Our client is seeking a capable and experienced Company Secretary to provide support at Assistant Manager or Manager level. This role will suit a professional with strong board governance knowledge and multi-jurisdictional experience who is ready to take ownership of a portfolio of responsibilities while contributing to wider governance improvements. Key Responsibilities Duties for this role include, but are not limited to: • Coordinating, attending and minuting quarterly board meetings, ad hoc meetings, and other governance-related sessions. • Preparing board packs and agendas in a timely manner and ensuring accurate and efficient follow-up of action points. • Supporting the maintenance of statutory records including minute books and company registers. • Ensuring compliance with Guernsey Registry requirements, including annual validations and relevant corporate filings. • Liaising with local and international registered agents to manage filings in other jurisdictions. • Overseeing the incorporation and set-up of new corporate structures, including GPs and entities across multiple jurisdictions. • Ensuring the organisation and administered entities comply with statutory obligations, regulatory filings and best practice. • Conducting an annual review of the Code of Corporate Governance and recommending efficiency improvements where appropriate. • Ensuring internal policies and procedures are followed and enhanced in line with evolving governance standards. • Supporting the signing and filing of resolutions and company documents in accordance with set timeframes. The Ideal Candidate The ideal candidate will bring a minimum of five years’ experience in a Company Secretarial, Fund Administration or similar environment, and hold a professional qualification such as ICSA or equivalent. A sound understanding of corporate governance frameworks, Guernsey Registry processes and board meeting administration is essential. This role requires someone who is confident communicating at board level, with strong attention to detail, exceptional organisation skills, and the ability to work under pressure to meet deadlines.
